1. Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and Cortex Systems (“Cortex Systems”, “we”, “us”, “our”) governing your access to and use of the Cortex Systems Customer Portal (the “Portal” or “Service”).

By registering for an account, logging in, or otherwise accessing or using the Portal, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Portal.

If you are accessing the Portal on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity.

2. Description of Services

The Cortex Systems Customer Portal is a secure, web-based platform that provides authorized customers and business partners access to Cortex Systems resources, including but not limited to:

  • Order history and status tracking
  • Product documentation and technical resources
  • Account management tools
  • Support and communication channels

Access to the Portal is granted at the sole discretion of Cortex Systems and is subject to account approval. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Security

Registration

To use the Portal, you must register for an account by providing accurate, current, and complete information as requested during the registration process. Accounts are subject to review and activation by Cortex Systems administrators before access is granted.

Account Credentials

You are solely responsible for maintaining the confidentiality of your username and password and for all activities that occur under your account. You agree to:

  • Use a strong, unique password and not share it with any third party
  • Notify Cortex Systems immediately of any unauthorized use of your account or any other breach of security
  • Log out of your account at the end of each session, particularly on shared devices

Cortex Systems will not be liable for any loss or damage arising from your failure to comply with these security obligations.

Account Accuracy

You agree to keep your account information accurate and up to date. Providing false, misleading, or outdated information may result in suspension or termination of your account.

4. Acceptable Use

You agree to use the Portal only for lawful purposes and in accordance with these Terms. You expressly agree not to:

  • Use the Portal for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation
  • Attempt to gain unauthorized access to any portion of the Portal, or to any other systems or networks connected to the Portal
  • Transmit any material that is defamatory, offensive, harassing, or otherwise objectionable
  • Introduce viruses, Trojan horses, worms, logic bombs, or other harmful or technologically harmful material
  • Use automated means (bots, scrapers, crawlers) to access or extract data from the Portal without prior written consent from Cortex Systems
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the integrity or performance of the Portal or third-party data contained therein
  • Share your account credentials or permit any third party to access the Portal using your credentials
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Portal

5. Intellectual Property

The Portal and its entire contents, features, and functionality — including but not limited to all software, text, displays, images, graphics, logos, and the design, selection, and arrangement thereof — are owned by Cortex Systems, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for your internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Portal, except as permitted by these Terms or explicitly authorized in writing by Cortex Systems.

6. Confidentiality

By accessing the Portal, you may receive or have access to information that is proprietary or confidential to Cortex Systems, including product data, pricing, technical specifications, documentation, and business information (“Confidential Information”). You agree to:

  • Hold all Confidential Information in strict confidence
  • Not disclose Confidential Information to any third party without the prior written consent of Cortex Systems
  • Use Confidential Information solely for the purpose for which it was provided
  • Take all reasonable precautions to prevent unauthorized disclosure or use of Confidential Information

These confidentiality obligations shall survive the termination of your access to the Portal.

7. Disclaimer of Warranties

THE PORTAL IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CORTEX SYSTEMS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Cortex Systems does not warrant that the Portal will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content or information available through the Portal.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CORTEX SYSTEMS, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE PORTAL, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF CORTEX SYSTEMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PORTAL EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100.00) OR (B) THE AMOUNT PAID BY YOU, IF ANY, TO CORTEX SYSTEMS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Cortex Systems and its affiliates, directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the Portal in a manner not authorized by these Terms
  • Your violation of any applicable law, regulation, or third-party rights
  • Any content you submit, transmit, or make available through the Portal

10. Third-Party Links and Services

The Portal may contain links to or integrations with third-party websites, applications, or services that are not owned or controlled by Cortex Systems. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. We encourage you to review the terms and privacy policies of any third-party services you access through the Portal.

11. Modifications to the Service and Terms

Cortex Systems reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Your continued use of the Portal following the posting of revised Terms means that you accept and agree to the changes. We also reserve the right to modify, suspend, or discontinue any feature or functionality of the Portal at any time without notice or liability.

12. Termination

Cortex Systems reserves the right to suspend or terminate your account and access to the Portal at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms or any applicable law. Upon termination:

  • Your right to access and use the Portal will immediately cease
  • Any provisions of these Terms that by their nature should survive termination shall survive, including Sections 5, 6, 7, 8, 9, and 13

You may terminate your account at any time by contacting Cortex Systems. Termination of your account does not relieve you of any obligations accrued prior to termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Portal shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Florida.

YOU WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will continue in full force and effect. The invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Cortex Systems with respect to your use of the Portal, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Portal.

Any failure by Cortex Systems to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. The waiver of any right or provision will be effective only if it is in writing and signed by a duly authorized representative of Cortex Systems.
